Position Overview

A leading international law firm is seeking a senior associate to join its Corporate Department, focusing on M&A transactions and takeover defense strategies. The role involves representing clients across a range of industries in complex public and private company transactions, as well as shareholder activism matters.

Key Responsibilities

• Serve as a core team member on M&A transactions, including public and private deals

• Conduct legal research and analysis related to corporate transactions and securities law

• Draft and negotiate transaction documents for public companies

• Advise clients on takeover defense and shareholder activism matters

• Manage due diligence processes and analyze legal implications of corporate actions

• Coordinate with legal teams and support staff to deliver integrated client service

Candidate Requirements

• Juris Doctor (or foreign equivalent)

• Minimum 5 years of experience at an international law firm

• Significant experience in:

  • Mergers and acquisitions

  • Drafting, negotiating, and advising public companies

  • Complex due diligence

  • Securities law compliance and exchange regulations

• Admission to the New York State Bar

Compensation

• Annual Salary Range: $420,000 – $435,000

• Compensation will reflect experience, qualifications, and other job-related factors
