About the role

Fintelligent is partnering with a highly regarded global law firm to place a mid-level Capital Markets Associate within its Corporate Department. This is an excellent opportunity for a motivated attorney with strong securities experience to work on high-profile transactions, advising corporate issuers and financial institutions on complex capital markets matters within a collaborative, fast-paced environment.


What you'll do

Advise clients on a broad range of securities offerings, including equity and debt issuances
Draft and review offering documents, prospectuses, and registration statements
Prepare and review SEC filings, proxy statements, and corporate governance materials
Conduct due diligence and identify potential legal and regulatory risks
Advise on compliance with federal securities laws and regulations, including the 1940 Act, Advisers Act, and Exchange Act
Collaborate across deal teams on IPOs, leveraged financings, and acquisition financings
Negotiate transaction agreements and coordinate with opposing counsel, intermediaries, and regulators
Support clients with ongoing disclosure and reporting obligations
Research and analyze complex legal issues related to capital markets transactions
Manage transaction timelines and multiple workstreams in a fast-paced environment
Stay current on market trends, regulatory developments, and legal updates
Utilize AI tools responsibly to enhance legal work and efficiency


What we're looking for

3–5 years of experience at a leading law firm focused on capital markets or securities law
Experience representing corporate issuers and major financial institutions in equity capital markets transactions
Strong familiarity with SEC regulations, disclosure requirements, and corporate governance matters
Experience advising on compliance and exposure to strategic M&A transactions is preferred
Proven ability to draft and negotiate transaction documents with precision
Excellent analytical, research, and problem-solving skills
Strong attention to detail and organizational capabilities
Ability to manage competing priorities and deadlines effectively
Comfortable working collaboratively while also handling responsibilities independently
J.D. from an accredited law school with a strong academic record
Active admission to the New York or Massachusetts Bar in good standing
