What you'll do

  • Represent private equity sponsors and their portfolio companies, and/or the financial institutions that provide financing to them, in debt financing transactions
  • Advise clients on structuring and executing leveraged finance transactions, including secured and unsecured lending, acquisition financings, and recapitalizations
  • Draft, review, and negotiate finance documentation including credit agreements, bond indentures, commitment letters, term sheets, security agreements, guarantee agreements, intercreditor agreements, and subordination agreements
  • Counsel clients on legal risks, regulatory requirements, and market practice in leveraged finance
  • Coordinate transaction closings, including preparation of closing checklists and end-to-end management of documentation and process
  • Handle ongoing compliance-related matters and client queries
  • Apply AI tools responsibly to enhance document review and workflow efficiency
  • Contribute to business development, including client presentations and thought leadership initiatives
  • Stay current with legal developments and evolving market trends in leveraged finance

What we're looking for

  • 1–6 years of experience (class of 2024 and above) at a large or global law firm in leveraged finance or a closely related practice area
  • J.D. from an accredited law school with a strong academic record
  • Active admission to the New York Bar in good standing
  • Proficiency in drafting and negotiating complex financial documents, commensurate with class year
  • Solid understanding of secured transactions, syndicated lending, and acquisition finance relative to experience level
  • Strong analytical and problem-solving skills with sharp attention to detail
  • Clear and effective written and verbal communication with clients and colleagues
  • Ability to manage multiple simultaneous workstreams and deadlines efficiently
  • Commitment to high standards of professionalism, integrity, and responsible use of technology

Compensation

Compensation is competitive and aligned with large law firm market rates for New York. Full details will be provided at the appropriate stage of the process.
